Acceptance of Terms
By accessing or using the Parbat platform (“Service”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.
Description of Service
Parbat provides an AI-driven pricing platform utilizing conversational AI and virtual shopping agent simulations designed to help emerging e-commerce brands optimize pricing decisions. Parbat is provided as an application installed from the Shopify App Store and operates within a merchant's Shopify store. Features and functionalities may vary based on subscription plans.
User Accounts
You must provide accurate information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities occurring under your account.
Subscription and Payments
Parbat is offered on a subscription basis. Billing is handled through Shopify (Shopify Managed Pricing / the Shopify Billing API): subscription charges appear on your Shopify invoice, and Parbat does not collect or store your payment card details. Plan changes are made through Shopify. A declined charge or non-payment may result in suspension or termination of access to the Service.
User Conduct
You agree not to:
Misuse or disrupt the Service.
Engage in unauthorized access or attempt to compromise platform security.
Violate applicable laws or regulations.
Data Privacy

Data Processing
This section applies where Parbat processes personal data on behalf of a merchant in connection with the Service.
Roles. As between the parties, the merchant is the data controller and Parbat is the data processor with respect to personal data contained in the merchant's Shopify store data that Parbat processes to provide the Service. Each party will comply with applicable data protection laws.
Scope and purpose. Parbat processes personal data only to provide, maintain, secure, and improve the Service — primarily to generate pricing analysis and recommendations — and only on the merchant's documented instructions, which include these Terms and the merchant's use of the Service. The categories of personal data, data subjects, and processing purposes are described in our Privacy Policy.
Confidentiality. Parbat ensures that personnel authorized to process personal data are bound by appropriate confidentiality obligations and access personal data only as needed to provide the Service.
Security. Parbat maintains appropriate technical and organizational measures to protect personal data, including encryption in transit and at rest and access controls that limit data access to authorized personnel.
Sub-processors. The merchant authorizes Parbat to engage sub-processors to provide the Service. Parbat currently relies on Google Cloud Platform for hosting and data storage, and on Google (Gemini, via Vertex AI) and Anthropic (Claude) as AI/ML providers. Parbat remains responsible for its sub-processors' compliance with this section and will provide notice of material changes to its sub-processors.
Data subject requests. Parbat will provide reasonable assistance to enable the merchant to respond to requests from data subjects exercising their rights under applicable law, and processes Shopify's mandatory compliance webhooks (customer data request, customer redaction, and shop redaction).
Personal data breach. Parbat will notify the merchant without undue delay after becoming aware of a personal data breach affecting the merchant's data.
Deletion. On uninstallation or termination of the Service, Parbat will delete the merchant's store data in accordance with the retention practices described in our Privacy Policy and Shopify's shop-redaction process.
International transfers. Personal data may be processed in data centers located outside the merchant's country. Where data is transferred internationally, Parbat takes steps to ensure it remains protected in accordance with applicable law.
Compliance. Parbat will make available to the merchant information reasonably necessary to demonstrate compliance with this section.
Intellectual Property Rights
All materials, content, and software provided through the Service are owned by Parbat or its licensors. You may not copy, modify, distribute, or exploit our intellectual property without prior written permission.
Disclaimer of Warranties
The Service is provided “as is” without warranties of any kind. Parbat does not guarantee that the Service will be uninterrupted or error-free.
Limitation of Liability
Parbat shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
Indemnification
You agree to indemnify and hold harmless Parbat, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or costs arising from your use of the Service or violation of these Terms.
Modification of Terms
Parbat reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of the Service after changes indicates your acceptance of the new Terms.
Termination
Parbat may terminate or suspend your access to the Service immediately, without prior notice, for violations of these Terms or other harmful activities.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
